Asset License

Last updated February 17, 2026

Summary

This summary is here to help. The license below is the binding text.

  1. 1. This agreement

This Asset License is an agreement between Hyperverse company (“Hyperverse”, “we”, “us”), and the company that orders an Asset from us (“you”).

It applies to every Asset we deliver to you, unless a contract signed by both of us says otherwise. By accepting a Delivery or paying for an Asset, you agree to it. The person accepting it confirms they have authority to bind their company.

  2. 2. Definitions

    • “Asset” means the files we deliver for one catalog item or custom order, including USD, MJCF and GLB files, meshes, textures, materials, collision geometry, physics parameters and documentation.
    • “Delivery” means an Asset as we send it to you, by email or download link.
    • “Company” means you, your parent company, and the companies you control or that share a parent company with you.
    • “Outputs” means anything you produce by running an Asset in simulation, including renders, images, video, sensor data, datasets, recorded trajectories, and the models and policies learned from them.
    • “Product” means software, a simulation, a scene or a dataset you build that includes an Asset as one part of a larger work.
  3. 3. License grant

Once you have paid for an Asset, we grant you a non-exclusive, worldwide, perpetual, royalty-free license to use, copy and modify it within your Company, for the uses in section 4.

One license covers everyone in your Company. You need no further license for new projects, teams or sites. The license can’t be transferred, except together with a merger or sale of the business or product line that uses the Asset.

  4. 4. What you may do

    Within your Company, you may:

    • Run the Asset in any simulator, including NVIDIA Isaac Sim and MuJoCo.
    • Generate synthetic data with it, and use the Asset and that data for machine learning, including robot policy learning and testing.
    • Modify it: edit its geometry, materials, physics parameters and file formats, and combine it with other assets. Modified versions stay under this license.
    • Include it in a Product you distribute or sell, as long as you take reasonable steps so that recipients can’t extract the Asset as a standalone file. Shipping it inside compiled builds, packaged containers or encrypted formats is fine. Shipping the editable USD file on its own is not.
    • Share it with contractors and service providers who work for you, only to do that work and under confidentiality terms at least as protective as this license. You are responsible for what they do with it.
  5. 5. Your Outputs

You own your Outputs. You may use, publish, sell and license them for any purpose, with no attribution and no further payment to us. We claim no rights in them.

Outputs that contain an Asset in a form that can be extracted, such as a USD scene file, stay subject to section 6 for the Asset inside them.

  6. 6. What you may not do

    You may not:

    • Sell, sublicense, share or publish an Asset, or a modified version of it, as a standalone file or in a collection of assets.
    • Offer an Asset on any marketplace, asset store or library, or include it in a starter library of software that lets its users import and export 3D content.
    • Use the Assets to build a catalog or service that competes with ours.
    • Share an Asset with anyone outside your Company, except as section 4 allows.
    • Remove ownership or license notices from the files, or claim you made an Asset.
  7. 7. Ownership

We and our licensors keep all rights, title and intellectual property in the Assets. You receive a license, not ownership, and we reserve every right this license doesn’t grant.

If you commission a custom Asset under a signed contract, that contract decides who owns it. If it says nothing, the custom Asset is covered by this license. We may build similar assets for others, but we never share the photos, videos or other material you sent us without your permission.

  8. 8. How long the license lasts

The license lasts forever, unless it ends. It ends if:

    • you don’t pay for the Asset when payment is due;
    • a payment for it is reversed or charged back; or
    • you materially breach this license and don’t fix the breach within 30 days of our notice.

When it ends, you must stop using the Asset, delete every copy, and have your contractors do the same. Outputs you made before then stay yours, and Products you shipped before then may stay with your customers. A refund under our Terms also ends the license for that Asset.

  9. 9. Warranty and liability

Apart from what our Terms of Service say about faulty Assets, Assets are provided “as is”. To the extent the law allows, we give no other warranty, express or implied, including of fitness for a particular purpose, merchantability or non-infringement.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, including lost profits, lost data, or damage to robots, equipment or property, arising from an Asset or its Outputs. Our total liability for any Asset is limited to the fees you paid for that Asset.

  10. 10. General

This license and our Terms of Service are the whole agreement about the Assets. A contract signed by both of us prevails over both. We may update this license; an update applies only to Deliveries made after the date shown at the top. If a court finds part of it unenforceable, the rest still applies.
